Terms & Conditions

General Terms and Conditions (AGB) for business customers · Last updated: October 2026

1. Scope

These terms apply to all sales of goods and all transport and courier services provided by Punjab Express Logistic GmbH (“we”, “us”). We deal exclusively with businesses (entrepreneurs within the meaning of § 14 BGB), legal entities under public law and special funds under public law. We do not sell to consumers. Conflicting or different terms of the customer apply only if we expressly agree to them in writing.

2. Offers and contract

Our offers, price lists and stock lists are non-binding unless expressly marked as binding. A contract is concluded only when we confirm an order in writing or by email, or when we deliver the goods or perform the service.

3. Prices and payment

Prices are in euros, net, plus statutory VAT where applicable. For deliveries to businesses in other EU member states with a valid VAT identification number, the reverse-charge procedure applies where the legal requirements are met. Unless otherwise agreed, invoices are due for payment without deduction on the date stated on the invoice. We may require advance payment, especially for new customers or large orders.

4. Delivery and transfer of risk

Delivery dates are approximate unless expressly agreed as binding. Risk passes to the customer when the goods are handed over to the customer or to the carrier, unless otherwise agreed. Partial deliveries are permitted where reasonable for the customer.

5. Retention of title

Goods remain our property until all claims arising from the business relationship have been paid in full. The customer may resell the goods in the ordinary course of business and hereby assigns to us the resulting claims against its buyers up to the amount of our invoice.

6. Inspection and notice of defects

The customer must inspect goods immediately upon receipt and notify us in writing of any visible defects, missing items or wrong deliveries within 5 working days of delivery, and of hidden defects within 5 working days of discovery (§ 377 HGB). Goods not complained about in time are deemed approved.

7. Used and graded goods

Used goods (including used or graded smartphones, tablets and electronics) are sold in the condition and grade described in our offer or stock list. Normal signs of use consistent with the stated grade do not constitute a defect.

8. Warranty

For new goods, the warranty period is 12 months from delivery. For used goods, warranty is excluded to the extent permitted by law. These limitations do not apply to damage caused by intent or gross negligence, to injury to life, body or health, to fraudulently concealed defects, or where we have given a guarantee. Where a defect exists, we may at our option repair, replace or refund.

9. Liability

We are liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence, we are liable only for breach of essential contractual obligations, limited to the typical, foreseeable damage. Liability under the Product Liability Act remains unaffected.

10. Transport and courier services

Our transport and courier services (up to 3.5 tonnes) are subject to the statutory provisions of the German Commercial Code (§§ 407 et seq. HGB), including its liability limits, and, where agreed with the customer, the German Freight Forwarders' Standard Terms and Conditions (ADSp 2017). The customer must ensure goods are properly packed and labelled and must inform us in advance of any dangerous, high-value or sensitive goods.

11. Electronics and compliance

The customer is responsible for complying with any legal obligations that apply to its own further sale of the goods, including electrical-equipment, battery and packaging rules in its country of sale.

12. Governing law and jurisdiction

These terms and all contracts are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is Berlin, Germany, where the customer is a merchant, a legal entity under public law or has no general place of jurisdiction in Germany.

13. Severability

If any provision of these terms is or becomes invalid, the remaining provisions remain valid. The invalid provision shall be replaced by a valid one that comes closest to its economic purpose.
